What does WDS do?
WDS is a leading Australian integrated provider of specialist development, design, engineering, construction, fabrication and maintenance related services to the cross-section of the energy, mining and infrastructure sectors. What does WDS do about corporate governance?
Underlying WDS' business are a set of principles, guidelines and practices that promote honest, transparent and responsible behaviour and accountability in all that we do.
The WDS Board endorses the ASX Corporate Governance Council's Corporate Governance Principles and Recommendations, and has adopted corporate governance charters and policies reflecting those Recommendations to the extent that it is practicable having regard to the size and circumstances of the Company. Can WDS sell my shares for me?
No. Usually, shareholders appoint a broker to sell their securities for them, or you can use an internet based security dealer.
What is the difference between Participant sponsored (CHESS) and Issuer sponsored? How do I know what is the type of my holding?
CHESS stands for Clearing House Electronic Subregister System. CHESS participants have direct access to the settlement process and can sponsor other securityholders to use CHESS facilities. All stockbrokers are participants as are the majority of large institutional investors, custodian nominees and trustee companies.
Issuer sponsored is where shares are held in an uncertified form, without the requirement for sponsorship i.e. a CHESS participant. Shareholders are not issued share certificates, but instead receive statements detailing their movements and shareholding balance. Statements are issued when you first become a shareholder and are also mailed within 5 business days of the end of the month if any transaction occurs. The holding statement also shows your personal Securityholder Reference Number (SRN) identifying the issuer sponsored holding.
What is my Holder ID number?
Your holder reference or identification number, sometimes referred to as investor number, is important. This number identifies your holding and must be quoted when requesting information from the Registrar. It usually begins with an "I" for an Issuer sponsored holding (SRN) or an "X" for a CHESS holding (HIN). Important note - your investor number is equivalent to a PIN number on a bank account, any documents containing your SRN or HIN should be kept in a secure place.
Can I check my WDS shareholding on the internet?
You can view details of your WDS shareholding online by visiting the Link Market Services website.
For your security, you will be asked to provide your Securityholder Reference Number (SRN) or Holder Identification Number (HIN), your surname and your postcode, all of which can be found on your holding statement.
If you are unable to access the internet to check your shareholding you can contact Link Market Services.
How do I consolidate or merge more than one holding?
For Issuer Sponsored Holdings (SRN): If the names, addresses and banking instructions recorded for both holdings are identical, and the holdings are issuer sponsored, the duplicate holdings can be consolidated. To consolidate duplicate holdings, complete the "Merge Multiple Holdings" form and send the form to Link Market Services. You will be required to nominate the SRN you wish to retain.
If the names are not identical, you will need to contact Link Market Services to confirm the process necessary for amalgamating them under one holder number.
If the consolidation of your holdings involves a CHESS holding (HIN), you will need to contact your sponsoring broker to arrange consolidation.
How can I receive my dividend payments?
Your distribution payments will be paid by direct credit to an Australian Bank, Building Society or Credit Union account. If direct credit instructions are not received prior to the relevant record date, a cheque will be sent to you at the address recorded by Link Market Services.
If you have not provided your bank account details to Link Market Services or would like to update your direct credit instructions, you can do so via the Link Market Services website or complete the "Request for Direct Credit of Payments" form and send the form to Link Market Services.
What records should I keep for tax purposes?
All shareholders, wherever they are based, should maintain records of purchases and sales (broker Contract Notes, etc). At the time of payment of each dividend, WDS will provide a payment advice with all the details you require.
How may I obtain a WDS Limited Annual Report?
Unless Link Market Services has been notified otherwise, shareholders will not be sent a hard copy of the Annual Report. All shareholders can view recent and past versions of the WDS Annual Report available under Reports & Presentations from the Investors section of this website.
If you would like to change your preference on how you receive the Annual Report (i.e. by email notification or hard copy), you can do so via the Link Market Services website or you can contact Link Market Services.

What is an Annual General Meeting?
An Annual General Meeting (AGM) as required by law, is a meeting held each year where shareholders and management discuss the Company's activities, and where shareholders consider and vote on a variety of business matters.
All shareholders are invited to attend the AGM and are provided with a Notice of Meeting describing the business to be conducted, and a proxy form to allow them to vote in a variety of ways if they cannot or do not wish to attend the meeting in person.
When is the AGM?
The AGM of WDS will be held on a different date each year following the release of the Annual Report. Generally, the AGM will be held in late October each year.
A copy of the Notice of Meeting will be sent to all holders, as required by law. The Notice of Meeting will inform you of the date, time and venue of the AGM.

What if I am unable to attend the AGM?
If you cannot attend, you can appoint a proxy to act on your behalf. This person will be able to attend the meeting, to speak and to vote on your behalf. Your proxy can be the Chairman of the Meeting, or any other person you choose. That person need not be a shareholder of WDS. Prior to the meeting, Link Market Services will send proxy forms to shareholders.
Alternatively, you can appoint your proxy and vote online. Around late September to early October, a link will be provided on this website for you to lodge your proxy's details and vote online for the meeting.
How can I inform WDS of changes to my details?
Address
For Issuer Sponsored holdings you can change your address details via the following methods (subject to security restrictions):
a. the Link Market Services website;
b. complete the "Change of Address" form and send the form to Link Market Services; or
c. contact Link Market Services on 02 8280 7111 (within Australia) or +61 2 8280 7111 (outside Australia).
Please note - due to security restrictions, if:
1. your holding is over $50,000;
2. your holding is in joint names (which requires dual signatures); and/or
3. the holding is in the name of a company/corporation,
you will be required to complete the "Change of Address" form and send the form to Link Market Services.
For Participant Sponsored (CHESS) holdings you can change your address by advising your sponsoring participant in writing.
Banking Details
For Issuer Sponsored holdings and Participant Sponsored (CHESS) holdings you can change your banking details via the following methods (subject to security restrictions):
a. on the Link Market Services website;
b. complete the "Request for Direct Credit of Payments" form and send the form to Link Market Services; or
c. contact Link Market Services on 02 8280 7111 (within Australia) or +61 2 8280 7111 (outside Australia).
Please note - due to security restrictions, if:
1. your holding is over $50,000;
2. your holding is in joint names (which requires dual signatures); and/or
